Welcome to IntelliSAS ("IntelS", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our school management software platform, including our website, mobile applications, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

IntelS provides comprehensive school management software solutions designed for educational institutions in Nigeria. Our Services include:

• IntelFinance: Financial management, fee collection, invoicing, and payment tracking
• IntelGrade: Student grading, report cards, academic records, and performance analytics
• IntelTest: Computer-based testing, examination management, and automated assessment
• AI-Powered Features: Intelligent grading assistance, automated testing, and learning analytics
• Administrative Tools: Student enrollment, staff management, attendance tracking, and communication
• Parent Portal: Access for parents to view student progress, fees, and school communications

We operate as a 100% digital service with support available via email and WhatsApp. We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice.

To use our Services, you must:

• Provide accurate, current, and complete information during registration
• Be an authorized representative of the educational institution
• Maintain the security of your account credentials
• Promptly update your account information if it changes
• Be at least 18 years old or have proper authorization

You are responsible for:

1. Maintaining the confidentiality of your password and account
2. All activities that occur under your account
3. Notifying us immediately of any unauthorized access or security breach
4. Ensuring proper user access controls within your institution
5. Complying with all applicable data protection laws and regulations

Our Services are provided on a subscription basis with various pricing tiers based on school size and features required. By subscribing, you agree to:

• Pay all applicable subscription fees in Nigerian Naira (NGN)
• Provide valid payment information and authorize charges
• Accept automatic renewal unless cancelled before the renewal date
• Pay any applicable taxes, transaction fees, or currency conversion charges

We may offer a free trial period for new users. During the trial:

• You have full access to specified features at no cost
• You can cancel at any time before the trial ends to avoid charges
• Your subscription will automatically begin at the end of the trial unless cancelled
• We reserve the right to modify or cancel trial offers at any time

Refunds are handled on a case-by-case basis. Generally:

• Refunds may be issued for technical issues preventing service use
• No refunds for partial months or unused portions of the subscription
• Refund requests must be submitted within 7 days of the charge
• All refund decisions are at our sole discretion

If payment is not received:

1. We will send a reminder notice via email and WhatsApp
2. After 7 days, your account may be restricted to read-only access
3. After 14 days, your account may be suspended
4. After 30 days, your account and data may be permanently deleted
5. Late payment may incur additional fees or interest charges

All aspects of our Services, including software, design, text, graphics, logos, and features, are owned by IntelliSAS or our licensors and are protected by Nigerian and international intellectual property laws. You may not:

• Copy, modify, distribute, or create derivative works of our Services
• Reverse engineer, decompile, or disassemble our software
• Remove or alter any copyright, trademark, or proprietary notices
• Use our trademarks, logos, or branding without written permission
• Frame or mirror any part of our Services on other websites

You retain ownership of all data you input into our Services ("Your Content"). By using our Services, you grant us a limited license to:

• Store, process, and display Your Content to provide the Services
• Backup Your Content for data protection purposes
• Use aggregated, anonymized data for analytics and service improvement

You represent and warrant that you have all necessary rights to Your Content and that it does not violate any laws or third-party rights.

You agree not to use our Services to:

1. Violate any applicable laws, regulations, or third-party rights
2. Transmit harmful code, viruses, malware, or malicious software
3. Engage in fraudulent, deceptive, or misleading activities
4. Harass, abuse, threaten, or harm others
5. Interfere with or disrupt the integrity or performance of our Services
6. Attempt to gain unauthorized access to our systems or user accounts
7. Scrape, mine, or collect data without authorization
8. Use the Services for any commercial purpose outside your institution
9. Resell, sublicense, or transfer your account to others
10. Input false, inaccurate, or misleading information

We strive to provide reliable, continuous service. However:

• We do not guarantee 100% uptime or uninterrupted access
• Scheduled maintenance will be announced in advance when possible
• Emergency maintenance may occur without prior notice
• Service may be affected by factors beyond our control (internet outages, server failures, etc.)

We provide customer support through:

Support is provided in English and covers technical issues, account management, and general inquiries. We operate as a fully digital service with no physical offices.

To the maximum extent permitted by Nigerian law:

1. Disclaimer of Warranties: Our Services are provided "as is" and "as available" without warranties of any kind, express or implied
2. Limitation of Damages: We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or revenue
3. Maximum Liability: Our total liability to you for all claims shall not exceed the amount you paid us in the 12 months preceding the claim
4. Data Loss: While we maintain regular backups, we are not liable for data loss or corruption. You should maintain independent backups
5. Third-Party Services: We are not responsible for third-party services or integrations

You may terminate your account at any time by:

• Contacting us via email at [email protected]
• Sending a WhatsApp message to +234 81 36 37 38 31
• Following the account closure process in your dashboard

Upon termination, you remain responsible for any outstanding fees and will lose access to all data within 30 days unless you request a data export.

We may suspend or terminate your account if:

• You violate these Terms or our policies
• Your payment is more than 30 days overdue
• You engage in fraudulent or illegal activities
• We are required to do so by law
• Continuing to provide service creates risk or liability for us

Upon termination:

1. You have 30 days to request a data export in CSV or PDF format
2. After 30 days, all data will be permanently deleted from our systems
3. Backup copies may persist for up to 90 days before permanent deletion
4. We may retain certain data to comply with legal obligations

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of Nigerian courts.

In the event of a dispute, we encourage the following process:

1. Informal Resolution: Contact us first to attempt to resolve the issue informally
2. Mediation: If informal resolution fails, we agree to participate in good-faith mediation
3. Arbitration: Disputes may be submitted to binding arbitration under Nigerian law
4. Litigation: As a last resort, disputes may be brought to Nigerian courts

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date
• Significant changes will be communicated via email
• Continued use after changes constitutes acceptance
• You may terminate your account if you disagree with the changes

These Terms, together with our Privacy Policy, constitute the entire agreement between you and IntelliSAS regarding the Services.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

You may not assign or transfer these Terms or your account without our written consent. We may assign our rights and obligations without restriction.
