1. Acceptance of Terms

Welcome to IntelliSAS ("IntelS", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our school management software platform, including our website, mobile applications, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

2. Service Description

IntelS provides comprehensive school management software solutions designed for educational institutions in Nigeria. Our Services include:

• IntelFinance: Financial management, fee collection tracking, invoicing, and payment record management.
• IntelGrade: Student grading compiles, report cards creation, behavioral records, and analytics.
• IntelTest: Computer-based testing, offline CBT setups, question paper generators, and automated calculations.
• AI-Powered Features: Intelligent grading remarks, timetables conflict checking, and adaptive lesson notes studio.
• Administrative Tools: Student enrollment lists, staff payroll logs, attendance checkers, and notifications tools.
• Parent Portal: Student progress indicators, outstanding invoices, and notification logs for guardians.

We operate as a 100% digital service with support available via email and WhatsApp. We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice.

3. User Accounts and Responsibilities

A. Account Registration

To use our Services, you must:

• Provide accurate, current, and complete information during registration.
• Be an authorized representative of the educational institution.
• Maintain the security of your account credentials.
• Promptly update your account details if they change.
• Be at least 18 years old or have proper parental/guardian authorization.

B. Account Security

You are responsible for:

1. Maintaining the confidentiality of your password and account details.
2. All activities that occur under your school account.
3. Notifying us immediately of any unauthorized access or security breach.
4. Ensuring proper user access controls within your institution.
5. Complying with all applicable data protection laws and regulations.

4. Payment Terms and Subscriptions

A. Subscription Plans

Our Services are provided on a subscription basis with various pricing tiers based on school size and features required. By subscribing, you agree to:

• Pay all applicable subscription fees in Nigerian Naira (₦).
• Provide valid billing information and authorize transaction checkouts.
• Accept automatic renewal unless cancelled before the renewal date.
• Pay any applicable taxes, transaction gateway fees, or related invoice charges.

B. Free Trial

We may offer a free trial period for new users. During the trial:

• You have full access to specified features at no financial cost.
• You can cancel at any time before the trial ends to avoid future charges.
• Your subscription will automatically begin at the end of the trial unless cancelled.
• We reserve the right to modify or cancel trial offers at any time.

C. Refund Policy

Refunds are handled on a case-by-case basis. Generally:

• Refunds may be issued for technical issues preventing service use.
• No refunds for partial months or unused portions of the subscription.
• Refund requests must be submitted within 7 days of the charge.
• All refund decisions are at our sole discretion.

D. Late Payments and Suspension

If payment is not received:

1. We will send a reminder notice via email and WhatsApp.
2. After 7 days, your account may be restricted to read-only access.
3. After 14 days, your account may be suspended.
4. After 30 days, your account and data may be permanently deleted.
5. Late payment may incur additional transaction charges.

5. Intellectual Property Rights

A. Our Intellectual Property

All aspects of our Services, including software, design, text, graphics, logos, and features, are owned by IntelliSAS or our licensors and are protected by Nigerian and international intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our software.

B. Your Content

You retain ownership of all data you input into our Services ("Your Content"). By using our Services, you grant us a limited license to store, process, and display Your Content solely to deliver our platform features and backup records.

You represent and warrant that you have all necessary rights to Your Content and that it does not violate any laws or third-party rights.

6. Prohibited Uses

You agree not to use our Services to violate any laws, transmit harmful code or malware, engage in fraudulent activities, harass others, or interfere with system integrity. Violation of these rules may result in immediate account suspension.

7. Service Availability and Support

We strive to provide reliable, continuous service. Scheduled maintenance will be announced in advance when possible. We provide customer support via email at [email protected] and WhatsApp at +234 813 637 3831.

Support is provided in English and covers technical issues, account management, and general inquiries. We operate as a fully digital service with no physical offices.

8. Limitation of Liability

To the maximum extent permitted by Nigerian law, IntelliSAS is not liable for any indirect, incidental, or consequential damages, including loss of data or revenue. Our total liability for all claims shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Termination

You may terminate your account at any time by contacting us. Upon termination, you have 30 days to request a data export in CSV/Excel formats, after which all data will be permanently deleted from our servers.

10. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of Nigerian courts.
