These Terms of Service ("Terms") govern your access to and use of our school management software platform, including our website, mobile applications, and related services (collectively, the "Services").
            
            
                By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.
            
            
                 Important: These Terms constitute a legally binding agreement between you (the school or educational institution) and IntelliSAS. Please read them carefully.
             
            
            
                
                Service Description
            
            
                IntelS provides comprehensive school management software solutions designed for educational institutions in Nigeria. Our Services include:
            
            
                - IntelFinance: Financial management, fee collection, invoicing, and payment tracking
 
                - IntelGrade: Student grading, report cards, academic records, and performance analytics
 
                - IntelTest: Computer-based testing, examination management, and automated assessment
 
                - AI-Powered Features: Intelligent grading assistance, automated testing, and learning analytics
 
                - Administrative Tools: Student enrollment, staff management, attendance tracking, and communication
 
                - Parent Portal: Access for parents to view student progress, fees, and school communications
 
            
            
                We operate as a 100% digital service with support available via email and WhatsApp. We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice.
            
            
            
                
                User Accounts and Responsibilities
            
            Account Registration
            To use our Services, you must:
            
                - Provide accurate, current, and complete information during registration
 
                - Be an authorized representative of the educational institution
 
                - Maintain the security of your account credentials
 
                - Promptly update your account information if it changes
 
                - Be at least 18 years old or have proper authorization
 
            
            Account Security
            You are responsible for:
            
                - Maintaining the confidentiality of your password and account
 
                - All activities that occur under your account
 
                - Notifying us immediately of any unauthorized access or security breach
 
                - Ensuring proper user access controls within your institution
 
                - Complying with all applicable data protection laws and regulations
 
            
            
                 Security Warning: Never share your account credentials with unauthorized persons. You are liable for all actions taken using your account.
             
            
            
                
                Payment Terms and Subscriptions
            
            Subscription Plans
            
                Our Services are provided on a subscription basis with various pricing tiers based on school size and features required. By subscribing, you agree to:
            
            
                - Pay all applicable subscription fees in Nigerian Naira (NGN)
 
                - Provide valid payment information and authorize charges
 
                - Accept automatic renewal unless cancelled before the renewal date
 
                - Pay any applicable taxes, transaction fees, or currency conversion charges
 
            
            Free Trial
            
                We may offer a free trial period for new users. During the trial:
            
            
                - You have full access to specified features at no cost
 
                - You can cancel at any time before the trial ends to avoid charges
 
                - Your subscription will automatically begin at the end of the trial unless cancelled
 
                - We reserve the right to modify or cancel trial offers at any time
 
            
            Refund Policy
            
                Refunds are handled on a case-by-case basis. Generally:
            
            
                - Refunds may be issued for technical issues preventing service use
 
                - No refunds for partial months or unused portions of the subscription
 
                - Refund requests must be submitted within 7 days of the charge
 
                - All refund decisions are at our sole discretion
 
            
            Late Payments and Suspension

                - After 7 days, your account may be restricted to read-only access

                All aspects of our Services, including software, design, text, graphics, logos, and features, are owned by IntelliSAS or our licensors and are protected by Nigerian and international intellectual property laws. You may not:

                - Reverse engineer, decompile, or disassemble our software
 
                - Remove or alter any copyright, trademark, or proprietary notices
 
                - Use our trademarks, logos, or branding without written permission
 
                - Frame or mirror any part of our Services on other websites
 
            
            Your Content
            
                You retain ownership of all data you input into our Services ("Your Content"). By using our Services, you grant us a limited license to:
            
            
                - Store, process, and display Your Content to provide the Services
 
                - Backup Your Content for data protection purposes
 
                - Use aggregated, anonymized data for analytics and service improvement

                Service Availability and Support
            
            Uptime and Availability
            
                We strive to provide reliable, continuous service. However:
            
            
                - We do not guarantee 100% uptime or uninterrupted access
 
                - Scheduled maintenance will be announced in advance when possible
 
                - Emergency maintenance may occur without prior notice
 
                - Service may be affected by factors beyond our control (internet outages, server failures, etc.)

                - Limitation of Damages: We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or revenue
 
                - Maximum Liability: Our total liability to you for all claims shall not exceed the amount you paid us in the 12 months preceding the claim
 
                - Data Loss: While we maintain regular backups, we are not liable for data loss or corruption. You should maintain independent backups
 
                - Third-Party Services: We are not responsible for third-party services or integrations
 
            
            
                 Data Protection: We strongly recommend maintaining independent backups of critical data. While we implement robust backup systems, you remain responsible for your data.
             
            
            
                
                Termination
            
            Termination by You
            You may terminate your account at any time by:
            
                - Contacting us via email at [email protected]
 
                - Sending a WhatsApp message to +234 81 36 37 38 31
 
                - Following the account closure process in your dashboard
 
            
            
                Upon termination, you remain responsible for any outstanding fees and will lose access to all data within 30 days unless you request a data export.
            
            Termination by Us
            We may suspend or terminate your account if:
            
                - You violate these Terms or our policies
 
                - Your payment is more than 30 days overdue
 
                - You engage in fraudulent or illegal activities
 
                - We are required to do so by law
 
                - Continuing to provide service creates risk or liability for us
 
            
            Data Export and Deletion
            
                Upon termination:
            
            
                - You have 30 days to request a data export in CSV or PDF format
 
                - After 30 days, all data will be permanently deleted from our systems
 
                - Backup copies may persist for up to 90 days before permanent deletion
 
                - We may retain certain data to comply with legal obligations
 
            
            
            
                
                Governing Law and Dispute Resolution
            
            Applicable Law
            
                These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of Nigerian courts.
            
            Dispute Resolution
            
                In the event of a dispute, we encourage the following process:
            
            
                - Informal Resolution: Contact us first to attempt to resolve the issue informally
 
                - Mediation: If informal resolution fails, we agree to participate in good-faith mediation
 
                - Arbitration: Disputes may be submitted to binding arbitration under Nigerian law
 
                - Litigation: As a last resort, disputes may be brought to Nigerian courts
 
            
            
            
                
                General Provisions
            
            Modifications to Terms
            
                We reserve the right to modify these Terms at any time. When we make changes:

                - Significant changes will be communicated via email
 
                - Continued use after changes constitutes acceptance
 
                - You may terminate your account if you disagree with the changes
 
            
            Entire Agreement
            
                These Terms, together with our Privacy Policy, constitute the entire agreement between you and IntelliSAS regarding the Services.
            
            Severability
            
                If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
            
            Waiver
            
                Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
            
            Assignment
            
                You may not assign or transfer these Terms or your account without our written consent. We may assign our rights and obligations without restriction.
